LUMWAY WELLNESS INC.

1. Acceptance of These Terms

These Terms of Use ("Terms") govern access to and use of the corporate informational webpage located at lumwaylabs.com/pages/corporate (the "Site"), operated by Lumway Wellness Inc. ("Lumway," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. This document applies only to the corporate informational page at https://lumwaylabs.com/pages/corporate and related business inquiries. It does not govern purchases, customer accounts, or other activities in the online store. The store's separate policies remain applicable to those activities. These Terms are published at https://lumwaylabs.com/pages/corporate-terms-of-use.

2. About This Site

The Site is an informational presence for Lumway Wellness Inc. It provides information about the company and its areas of work – regulatory & compliance advisory, market entry & business strategy, and product development & sourcing – describes our approach to client engagements, typical client profiles, and our team's practice areas.

The Site does not offer, and is not intended to offer, user account registration, online payment, subscriptions, booking or scheduling tools, or downloadable materials. Any such functionality, if introduced in the future, will be governed by an updated version of these Terms.

3. Business (B2B) Orientation

The Site and its contact form are intended for business inquiries from companies and professionals interested in Lumway's advisory services. The Site is not designed to collect health information, financial account information, or personal information about third parties, and you should not submit such information through the Site.

4. Contacting Us Through the Site

You may contact Lumway through the Site in two ways:

  • by completing and submitting the "Tell us about your project" contact form (name, company, email, country, and a description of your inquiry); or
  • by emailing us directly at support@lumwaylabs.com.

After you submit the contact form, your message is delivered to our email inbox and is reviewed and answered manually. We do not commit to any specific response time, and any acknowledgment that your message was sent confirms transmission or receipt only, not acceptance of an engagement.

5. No Contractual Relationship Is Created by Submitting an Inquiry

Submitting an inquiry or message through the Site – whether via the contact form or by email – does not by itself create an agreement for services, or an agency, partnership, or client relationship between you and Lumway, and does not constitute an offer or acceptance of an offer for services by either party. A business relationship with Lumway arises only after the parties separately negotiate and agree on the terms of engagement, with any signature and/or payment requirements determined by those separately agreed terms.

6. No Guarantee of Engagement

Submitting a request through the Site does not guarantee that Lumway will provide any services or accept you as a client. Lumway may, in its sole discretion and without obligation to state a reason, decline to process any inquiry or decline to engage in a business relationship with any person or organization.

7. No User Accounts

The Site does not offer user registration, accounts, or a client portal. No login credentials are issued, and no personal dashboard, document repository, or similar functionality is available through the Site.

8. Intellectual Property

All content on the Site, including text, graphics, layout, and other materials (the "Content"), is owned by Lumway Wellness Inc. or its licensors and is protected by applicable intellectual property laws. Content is made available for your personal, non-commercial review only.

Except as expressly permitted in Section 9 below or by applicable law, you may not, without Lumway's prior written consent:

  • copy, reproduce, republish, distribute, or transmit any Content;
  • translate or create derivative works based on any Content; or
  • use any Content for commercial purposes.

Quotation of a limited excerpt of the Content is permitted provided that the source is clearly identified and accompanied by an active hyperlink back to the Site. Nothing in these Terms limits fair use or other uses permitted by applicable law.

9. Permitted Uses

Notwithstanding Section 8, the following uses are expressly permitted:

  • indexing of the Site by search engines;
  • citation of a limited excerpt, with attribution and an active link to the source;
  • ordinary browsing of the Site, including through assistive/accessibility technologies; and
  • good-faith security research conducted responsibly, provided that any findings are reported to support@lumwaylabs.com, no data is damaged or exfiltrated, and the operation of the Site is not disrupted.

10. Prohibited Conduct

Except as expressly permitted in Section 9 or by applicable law, you agree not to:

  • engage in bulk copying, republication, distribution, or commercial use of the Content, or create derivative or competing materials based on it;
  • scrape, crawl, or use any automated means to collect or bulk-extract Content or data from the Site;
  • use any Content to train, fine-tune, or evaluate artificial intelligence or machine learning models;
  • reverse engineer, decompile, or attempt to derive the technical implementation of the Site;
  • submit spam, or false, automated, or fraudulent messages through the contact form;
  • launch denial-of-service attacks, impose an unreasonable load on the Site's infrastructure, circumvent technical restrictions, gain unauthorized access, or distribute malicious code; or
  • impersonate Lumway or its representatives, or otherwise misrepresent an affiliation with Lumway.

11. Third-Party Links and Embedded Services

The Site includes a mailto link to support@lumwaylabs.com and internal anchor links. The Site does not link to third-party partner, manufacturer, or regulatory authority websites. The Site does load certain third-party components at the platform and application level, including web fonts (Google Fonts) and the analytics, testing, and marketing scripts described in our Cookie Policy. Lumway does not control and is not responsible for the content or practices of any third-party service or website. This does not limit Lumway's obligations under applicable law in connection with the third-party services it integrates into the Site. Our collection and disclosure of personal information through those services are described in our Privacy Policy and Cookie Policy.

12. Technical Access and Availability

The Site is hosted on the Shopify platform and benefits from Shopify's standard bot protection, rate limiting, and anti-fraud mechanisms. We reserve the right to restrict or terminate access to the Site, in whole or in part, for any person who violates these Terms.

13. Geographic Scope

Lumway Wellness Inc. is incorporated in the State of Washington, United States, and the Site's primary market is the United States. Informational content and the business-inquiry functionality do not vary based on visitor location; privacy controls may vary to reflect applicable requirements. While the Site may be accessed from other countries, its content is oriented toward the U.S. regulatory environment and has not been adapted to the requirements of other jurisdictions.

14. No Professional Advice

Information published on the Site is general in nature and provided for informational purposes only. It does not constitute legal, regulatory, financial, or other professional advice, and no advisor-client relationship is formed by your use of the Site. You should not rely on Site content as a substitute for advice from a qualified professional engaged under a separate agreement with Lumway.

15. Disclaimers

The Site and its Content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Lumway Wellness Inc. and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your access to or use of, or inability to access or use, the Site.

17. Indemnification

You agree to indemnify and hold harmless Lumway Wellness Inc. and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Site.

18. Future Functionality

The Site provides corporate Privacy Policy (https://lumwaylabs.com/pages/corporate-privacy-policy), Cookie Policy (https://lumwaylabs.com/pages/corporate-cookie-policy), and Terms of Use (https://lumwaylabs.com/pages/corporate-terms-of-use) pages through its footer. Client portals, user accounts, online payments, subscriptions, booking tools, AI-based tools, document upload functionality, dashboards, or personalized recommendations are not currently offered on the Site. If any such functionality is introduced, these Terms will be updated accordingly before that functionality becomes available.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Site, our practices, or applicable law. The "Effective date" at the top of this page indicates when these Terms were last revised. Material changes will be reflected by updating that date, and, where appropriate, by additional notice on the Site.

20. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles, without prejudice to any mandatory consumer-protection or other rights you may have under the law of your country of residence.

21. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

22. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Lumway Wellness Inc. regarding use of the Site and supersede any prior agreements or understandings regarding the Site. They do not amend or override any separate agreement governing services provided by Lumway.
